TERMS OF SERVICE

By accessing or using our platform, you agree to these Terms of Service. Please read them carefully.

1. Acceptance and contractual scope

These Terms of Service (the "Terms") form a binding contract between you and IPS Projects, S.L. ("MavelPoint", "we", "our"), a company incorporated in Spain. By creating an account, accessing, or using mavelpoint.com, the MavelPoint web application, MavelTree, or MavelCam (together, the "Service"), you accept these Terms and our Privacy Policy.

If you do not agree, do not create an account and do not use the Service. If you accept these Terms on behalf of a company or other legal entity, you warrant that you have authority to bind that entity.

Acceptable Use Policy — incorporated by reference

By accepting these Terms, you also agree to abide by our Acceptable Use Policy, available at https://www.mavelpoint.com/acceptable-use, which is incorporated herein by reference and forms part of these Terms. The Acceptable Use Policy lists prohibited content and behaviour and the procedures we follow for notice-and-action, statement of reasons, DMCA takedowns, and appeals.

2. Identity warranty

You warrant that the identity you present on the Service is your own, or that you have explicit written authorization to represent the artist, brand, label, or other entity under whose name you create or operate an account.

MavelPoint does not independently verify the identity of its users. We rely on this warranty. If we receive a credible report that an account is operated without the represented person's authorization, we may suspend the account and require evidence of authorization before reinstating it. Persistent or egregious impersonation results in permanent termination and content removal.

3. Eligibility

The Service is intended for users aged 16 and over. You must be at least 16 years old to create an account or use the Service. By using the Service you confirm that you meet this requirement.

Accounts found to be operated by a person under 16 will be terminated and the associated personal data will be deleted in accordance with our Privacy Policy.

4. Account responsibilities

You are responsible for everything that happens under your account. You must keep your login credentials confidential and notify us immediately at support@mavelpoint.com if you suspect unauthorized access.

  • Provide accurate, current, and complete information when you register and keep it up to date.
  • Do not share your password and do not let any third party use your account without your authorization.
  • Comply with all applicable laws and with these Terms, the Privacy Policy, and the Acceptable Use Policy.

5. Acceptable Use Policy

Your use of the Service is also governed by our Acceptable Use Policy, which lists prohibited content and behaviour and the procedures we follow for notice-and-action, statement of reasons, DMCA takedowns, and appeals. The Acceptable Use Policy is incorporated into these Terms by reference.

6. User-generated content

You retain all ownership rights in the content you upload, post, or otherwise make available through the Service ("User Content"), including photos, cover images, audio, video, bios, tracks, and tech riders.

By submitting User Content, you grant MavelPoint a worldwide, royalty-free, sublicensable, transferable licence to host, store, reproduce, adapt for technical formats, translate, publicly display, publicly perform, and distribute that User Content, solely for the limited purpose of operating, promoting, and improving the Service (including MavelPoint, MavelTree, and MavelCam). This licence ends when you delete the User Content or close your account, except to the extent the content has already been shared with third parties through the Service and to the extent we are required to retain it for legal compliance.

You represent and warrant that: (a) you own the rights in the User Content or have all necessary permissions from rights-holders (including any featured performers, producers, photographers, and labels); (b) you have obtained appearance releases or equivalent permissions from every identifiable person depicted in the User Content; and (c) the User Content does not violate any third-party right or applicable law.

7. Prohibited content

You may not upload, post, or transmit content that is illegal, infringing, harmful, deceptive, or otherwise prohibited. A complete list of prohibited content categories — including child sexual abuse material, non-consensual intimate imagery, hate speech, IP infringement, deepfakes, impersonation, spam, scraping, harassment, and doxxing — is set out in our Acceptable Use Policy.

8. Automated and AI processing

We use automated tools to operate the Service, including machine translation of user-facing copy and automated classification of certain content (for example, to detect suspected violations of the Acceptable Use Policy). These tools are decision-support, not final decision-makers.

We do not make decisions that produce legal effects concerning you or that similarly significantly affect you based solely on automated processing within the meaning of Article 22 of the General Data Protection Regulation. Material enforcement decisions — account suspension, content removal, and appeals — are reviewed by a human.

9. Limitation of liability

To the maximum extent permitted by law, MavelPoint's total aggregate liability to you arising out of or in connection with the Service, whether in contract, tort, or otherwise, is limited to the greater of (i) one hundred euros (€100) or (ii) the total fees you paid to MavelPoint in the twelve (12) months preceding the event giving rise to the claim.

This cap does not apply to liability for gross negligence, willful misconduct, death or personal injury caused by our negligence, or to any liability that cannot be excluded or limited under Spanish law or under mandatory European Union consumer-protection law. Your statutory rights as a consumer remain unaffected.

10. Indemnification

You agree to defend, indemnify, and hold harmless MavelPoint and its officers, employees, and agents from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of (a) your User Content, (b) your breach of these Terms, the Privacy Policy, or the Acceptable Use Policy, (c) your violation of any third-party right (including identity, image, or intellectual-property rights), or (d) your impersonation of another person or entity.

11. Termination and appeal

You may close your account at any time from your account settings or by writing to support@mavelpoint.com.

We may suspend or terminate your account, or remove specific content, if we believe in good faith that you have violated these Terms or the Acceptable Use Policy, or if we are required to do so by law or by an order from a competent authority. Where we restrict, suspend, or terminate an account or remove content, we will send a statement of reasons in accordance with Article 17 of Regulation (EU) 2022/2065 (the Digital Services Act), unless prohibited by law.

You have the right to challenge a restriction, suspension, or termination by writing to support@mavelpoint.com within fourteen (14) days of the notice. Your appeal will be reviewed by a person — not solely by automated means — in accordance with Article 23 of the Digital Services Act.

12. Modifications and re-consent

We may update these Terms from time to time. The current version is published on this page and identified by the "Last updated" date above. The machine-readable record of every version is published at /legal-versions.json.

When we publish a new version, you will be prompted to re-accept on your next login to the MavelPoint web application. Continuing to use the Service after re-accepting constitutes acceptance of the revised Terms. If you do not accept, you may close your account.

13. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them are governed by Spanish law. The competent courts are those of the city of Madrid, Spain.

Nothing in this section deprives you of the protection of mandatory consumer-protection rules of the law of the country where you have your habitual residence in the European Union. If you are a consumer, you may bring proceedings either in the Spanish courts or in the courts of your country of residence.

The European Commission provides an online dispute-resolution platform for consumer disputes, available at https://ec.europa.eu/consumers/odr. You may also contact us directly at support@mavelpoint.com to seek an amicable resolution before initiating any proceedings.

14. Local Circuit — legal bases of the mechanic

These legal bases are in force from August 2026.

Local Circuit is a feature of the Service through which a promoter opens a call for entries (an "edition") tied to a real event and to a specific number of performance slots, artists enter and compete by mobilising the support of their community, and the community votes. This section sets out the legal bases of that mechanic and applies, in addition to the rest of these Terms, to every edition opened on the platform.

Where this section imposes a stricter requirement than the general Terms — in particular the 18+ age requirement in 14.4, which is stricter than the 16+ floor in section 3 — the stricter requirement governs participation in Local Circuit.

14.1 Organising company

Local Circuit is a feature of the MavelPoint platform, organised and operated by IPS Projects, S.L., holder of Spanish tax ID (NIF/CIF) B56605819 (hereinafter "MavelPoint" or "the Company").

14.2 Purpose and nature of the mechanic

Local Circuit is an artist discovery and booking system based on community mobilisation, not on chance. A promoter opens a call for entries (an "edition") tied to a real event and to a specific number of performance slots. Artists enter the edition and compete by mobilising the support of their community. The community votes, and the promoter chooses the winner among the artists with the most valid votes at the close of the voting window.

Because this is a competition based on the merit and mobilising capacity of each artist — and not a random draw — Local Circuit does not qualify as gambling and requires no authorisation from the Spanish gambling authority (Dirección General de Ordenación del Juego) and no bond, without prejudice to 14.9 on modification and cancellation.

These legal bases govern the general mechanic of Local Circuit and apply to every edition opened on the platform. Each individual edition is additionally governed by its own specific conditions (date, venue, voting window, geographic or genre scope, and slot description), published on that edition's page.

14.3 Duration and territorial scope

Local Circuit has been available within the MavelPoint platform since its launch in 2026. Each individual edition has its own duration, set by the promoter who opens it, with an artist registration phase and a voting phase whose opening and closing dates are shown on the edition's public page.

Participation is open to residents of any country, unless the individual edition limits its scope to a given city, region or country, in which case that limitation is stated expressly on the edition's page. It is each participant's responsibility to check that they meet the eligibility requirements of the edition they wish to enter, as well as the local rules applicable in their country of residence.

14.4 Participants

  • Promoters — any natural or legal person registered as a promoter on MavelPoint who manages or programmes real venues, and who has completed the account verification process required by the platform, may open editions.
  • Artists — any natural person over 18 years of age (or over the age of legal emancipation in their jurisdiction of residence, if that age is lower) who holds an active MavelPoint account with a completed artist profile (EPK), and who meets the genre, city or scope requirements set by the individual edition, may enter an edition.
  • Voting community — any natural person over 18 years of age who completes the required light verification process (email or phone) and casts a single vote per edition may vote. MavelPoint may void duplicate or fraudulent votes and votes cast by automated systems (bots), without prior notice.

Employees, directors and direct collaborators of MavelPoint, as well as their relatives up to the second degree, are excluded from participating as an artist or as a promoter.

14.5 Voting mechanics

  • One voter, one vote per edition. Multiple votes from the same user, device or verification method are not accepted.
  • MavelPoint may implement technical verification and anti-fraud measures (rate limits, email/phone verification, detection of anomalous patterns).
  • MavelPoint reserves the right to invalidate votes or disqualify an artist if it detects manipulation, vote buying, use of bots or any other practice contrary to the good faith of the competition.
  • The vote count closes automatically at the end of the voting window stated on the edition's page. The promoter decides the winner among the most-voted artists and notifies the participating artists.

14.6 The performance slot ("prize")

The artist who wins an edition obtains a confirmed performance slot at the event tied to that edition, on the conditions (date, venue, fee and rider, where applicable) described on the edition's page. The slot cannot be exchanged for its cash value and cannot be transferred to a third party.

Formalising the booking (including the fee if any, the technical rider and any other contractual terms between the winning artist and the promoter) constitutes a direct contractual relationship between the promoter and the artist. MavelPoint acts as a technology intermediary and is not a party to that performance contract, without prejudice to the obligations incumbent on it as a platform under these Terms.

14.7 Intellectual property and image rights

Each participating artist declares that they own or hold the necessary rights over the material (photographs, biography, music links) included in their profile, and authorises MavelPoint and the edition's promoter to reproduce it on the edition's page, in promotional materials for that edition, and in MavelPoint communications relating to Local Circuit, for the duration of the edition and for a reasonable period thereafter for archival or historical purposes relating to the cycle.

This authorisation does not imply an exclusive assignment or a waiver of ownership of copyright or image rights, which remain with the artist in all cases.

14.8 Personal data protection

The personal data provided by promoters, artists and voters (name, email address and, where applicable, profile data) is processed by MavelPoint as controller, in accordance with Regulation (EU) 2016/679 (GDPR) and applicable data protection law, for the purposes of managing participation in Local Circuit, verifying votes and — subject to specific consent — sending communications relating to Local Circuit.

MavelPoint is controller only for what is proper to the platform (account, verification). The artist and voter database of each edition is made available to the Promoting Entity, which becomes controller of that data and may use it to contact those people directly (offers, upcoming editions, and so on), separately from MavelPoint's own communications.

14.9 Modification, suspension and cancellation

MavelPoint reserves the right to modify these legal bases or to suspend, cancel or postpone an individual edition where justified cause arises (unforeseeable circumstances, force majeure, indications of widespread fraud, or a decision by the promoter to cancel the linked event), giving notice on the affected edition's page as far in advance as possible.

Any modification of these general bases will be published on this same page and will apply to editions opened after its publication.

14.10 Exclusion of liability

MavelPoint does not guarantee that the event linked to an edition will actually take place, which depends on the organising promoter. Nor is MavelPoint responsible for any economic or contractual agreements between promoter and artist, or for incidents outside the platform (capacity, venue conditions, force majeure).

MavelPoint acts solely as the provider of the technological infrastructure that enables registration, voting and management of the edition.

14.11 Acceptance of these bases

Participation in Local Circuit, whether as a promoter, an artist or a voter, implies full acceptance of these legal bases, of these Terms and of MavelPoint's Privacy Policy. Anyone who does not agree with these bases must refrain from participating.

14.12 Governing law and jurisdiction

These legal bases are governed by Spanish law. For any dispute arising from their interpretation or application, the parties submit to the Courts and Tribunals of Madrid, unless the applicable consumer protection rules provide for another mandatory forum for participants who qualify as consumers resident in the European Union.
